The Ghana Gold Board (GoldBod): A Legal and Institutional Analysis of The Ghana Gold Board Act, 2025 (Act 1140)
Sections 4 to 12 establish GoldBod’s governance structure. The Board of Directors includes a chairperson nominated by the President, the Chief Executive Officer, representatives of the Ministries responsible for Mines and Finance, the Bank of Ghana, the Minerals Commission, large-scale and small-scale mining, gold service providers, and other persons with specialised knowledge, at least one of whom must be a woman. The President appoints the chairperson and other members under article 70 of the Constitution. The Board holds general oversight for GoldBod’s strategic direction and objectives . This structure raises an obvious governance question: can an institution represent commercial, regulatory, governmental and industry interests at once without conflicts of interest? The answer depends substantially on section 9.
