Board Selection And Appointment In State-Owned Enterprises In Ghana: The Consequences For Good Corporate Governance
The appointment of politicians according to the OECD disrupts the responsibilities of the boards leading to conflicting and inconsistent objectives. It therefore makes it difficult for board members to adhere to the principles of good corporate governance. Article 284 of the 1992 Constitution admonishes a public officer not to allow his interest to conflict with that of his office. It must be emphasized that because board members are politically appointed, there is a great deal of propensity to be inclined to the interest of the appointing authority, thereby disregarding the interest of the state.
